Important Notice

Welcome to the Terms of Service (these "Terms") governing your access to and use of the website sonolabs.ai, including its subdomains and APIs (collectively, the "Website"), operated on behalf of Sonolab OÜ (doing business as "Sonolabs," "we," or "us").

By accessing or using Sonolabs.ai, you agree to be bound by these Terms of Service. If you disagree with any part of these terms, you may not access the service.

The Website, together with all content, tools, features, functionality, and services made available on or through it—including our generative artificial intelligence platform that enables the creation of synthesized sound recordings and voice models based on audio, text, video, and other materials you upload—are collectively referred to as the "Services." The Services utilize artificial intelligence ("AI") technologies to generate audio output.

AI technologies are evolving rapidly and involve inherent limitations and uncertainties. Accordingly, we do not guarantee that any audio or other output generated through the Services will be accurate, suitable, lawful, or appropriate for any particular purpose. You acknowledge and agree that you are solely responsible for your use of the Services, including any prompts, inputs, uploaded materials, generated content ("Your Content"), and any consequences arising from the downloading, use, or sharing of Your Content with third parties (as defined below). All use of the Services is at your own risk.

These Terms govern your access to and use of the Services. Please read them carefully, as they contain important information regarding your legal rights and obligations. By accessing or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Services.

For purposes of these Terms, "you" and "your" refer to you as an individual user of the Services. If you access or use the Services on behalf of a company, organization, or other legal entity, then "you" includes both you and that entity, and you represent and warrant that: (a) you have the authority to bind the entity to these Terms; and (b) you agree to these Terms on the entity's behalf.

Important Notice Regarding Dispute Resolution. Section 8 of these Terms contains a binding arbitration agreement and a class action waiver. By agreeing to these Terms, you agree: (a) to resolve most disputes related to the Services and/or Sonolabs' products through final and binding individual arbitration, rather than in court before a judge or jury; and (b) to waive your right to participate in class actions, class arbitrations, or other representative proceedings. You may opt out of the arbitration agreement and class action waiver as described in Section 8.

1. Who May Use the Services

You may use the Services only if you are legally capable of entering into a binding agreement with Sonolabs and are in compliance with these Terms and all applicable laws and regulations.

The Services are not intended for use by minors, and Sonolabs does not knowingly permit individuals under the age of 18 to use the Services.

1.1 Eligibility

You must be at least 18 years old to access or use the Services. By using the Services, you represent and warrant that you meet this age requirement and that you have the legal capacity to enter into these Terms. If you are accessing or using the Services on behalf of a company, organization, or other legal entity, you further represent and warrant that you have the authority to bind that entity to these Terms.

1.2 Compliance With Laws and Rights of Others

You may use the Services only for lawful purposes and in accordance with these Terms. You are responsible for ensuring that your use of the Services, including any content you upload, generate, or distribute, complies with all applicable laws, regulations, and industry standards, including but not limited to laws relating to intellectual property, privacy, data protection, publicity rights, biometric data, and consumer protection.

1.3 Use on Behalf of Others

If you use the Services on behalf of another person or entity, you represent and warrant that you have obtained all necessary rights, permissions, consents, and authorizations to do so. This includes, without limitation, consent from any individual whose voice, likeness, or personal data is used, uploaded, modeled, or generated through the Services.

1.4 Geographic Availability

The Services may not be available in all jurisdictions, and Sonolabs makes no representation that the Services are appropriate or available for use in any particular location. You are responsible for complying with all local laws and regulations applicable to your use of the Services. Sonolabs reserves the right to limit, suspend, or prohibit access to the Services in any jurisdiction at its sole discretion, where required by law or regulatory obligations.

1.5 Suspension or Denial of Access

Sonolabs reserves the right to suspend, restrict, or terminate your access to the Services at any time if we reasonably believe that you do not meet the eligibility requirements set forth in this Section, have violated these Terms, or are using the Services in a manner that poses legal, regulatory, security, or reputational risk to Sonolabs or others.

2. User Accounts, Subscriptions, and Free Trials

2.1 Creating and Safeguarding Your Account

To access and use certain features of the Services, you must create an account or link an existing third-party account, such as a Google or GitHub account (each, an "Account"). You agree to provide accurate, complete, and up-to-date information when creating and maintaining your Account and to promptly update such information as necessary.

You are solely responsible for all activity that occurs under your Account, including any actions taken by persons who gain access to your Account, whether authorized by you or not. You are responsible for maintaining the confidentiality and security of your login credentials, including your password. Sonolabs is not liable for any loss or damage arising from your failure to safeguard your Account credentials or from unauthorized use of your Account.

You must promptly notify us at support@sonolabs.ai if you know or reasonably suspect that your Account or credentials have been lost, stolen, misappropriated, or otherwise compromised, or if you become aware of any unauthorized access to or use of your Account.

You may not create or use an Account if we have previously suspended or terminated your access to the Services, unless we have expressly authorized you to do so in writing.

2.2 Subscription Payment

If you subscribe to any paid Services, you agree to pay all applicable subscription fees and taxes in U.S. Dollars, in accordance with the pricing and payment terms presented to you at the time of purchase. Failure to pay applicable fees or taxes may result in suspension or termination of your access to the paid Services.

By purchasing a subscription, you authorize us to store your payment method and to charge it on a recurring basis to avoid interruption of the Services. We may calculate applicable taxes based on the billing information you provide at the time of purchase.

Sonolabs reserves the right to modify subscription plans, pricing, or billing structures at any time in its sole discretion. Any changes to pricing or subscription terms will take effect after reasonable notice to you and will apply prospectively. All subscriptions are processed only after full payment has been received. Any payment holds, failures, or restrictions imposed by your payment provider are solely your responsibility.

2.3 Payment Provider Terms

We use Stripe, Inc. and its affiliates as our third-party payment service provider (the "Payment Service Provider") to process payments in connection with the Services. When you subscribe to paid Services, you will be required to provide payment information directly to the Payment Service Provider.

Your use of the payment services is subject to Stripe's applicable terms and privacy policy, and you consent to Sonolabs and the Payment Service Provider sharing your information and payment instructions to the extent necessary to complete your transactions. Payment transactions may be subject to validation and authorization checks by the Payment Service Provider and your card issuer. Sonolabs is not responsible for any failure of your card issuer or payment provider to authorize a transaction, nor for any additional fees imposed by them.

In certain jurisdictions, the Payment Service Provider may engage subcontractors or third parties, subject to strict confidentiality and data protection obligations, to perform payment processing services.

2.4 Subscription Renewals and Cancellations

Unless otherwise stated at the time of purchase, subscriptions automatically renew at the end of each subscription period (monthly or as otherwise specified) at the then-current rates. Your payment method will be charged automatically at the start of each renewal period.

To avoid future charges, you must cancel your subscription before the renewal date. You may cancel by using the cancellation functionality available in your user dashboard or by contacting us at support@sonolabs.ai.

Cancellation will take effect at the end of the current subscription period.

2.5 No Refunds

Except as expressly required by applicable law, including mandatory consumer protection rights that may apply in certain jurisdictions, subscription fees are non-refundable, and no credits or refunds will be issued for partially used subscription periods. Upon cancellation, you will retain access to the paid Services until the end of the subscription period for which payment has already been made.

2.6 Free Trials

From time to time, Sonolabs may offer free trial access to certain paid Services. Unless otherwise stated, free trials begin on the date you create a trial Account and continue for the duration specified in the applicable trial offer or confirmation email (or, if not specified, seven (7) days).

You may cancel your trial at any time before the end of the trial period by following the cancellation procedures set forth in Section 2.4. If you do not cancel before the end of the trial period and we have notified you that your trial will convert to a paid subscription, you authorize us to charge your designated payment method for continued access to the paid Services.

If you cancel your trial or do not convert to a paid subscription, your access to the Services will be downgraded or terminated, and any content or data associated with your trial Account may no longer be available. Sonolabs may delete such content or data in accordance with these Terms and our data retention practices.

2.7 Promotional Codes

Sonolabs may offer promotional, referral, discount, or coupon codes (collectively, "Promotional Codes") that may be redeemed for discounts or other benefits related to the Services, subject to any additional terms specified at the time of issuance.

Promotional Codes must be used lawfully, only for their intended purpose and audience, and in accordance with any applicable terms. Promotional Codes may not be sold, transferred, duplicated, or made publicly available unless expressly permitted by Sonolabs. They have no cash value, may expire without notice, and may be modified, suspended, or revoked at any time without liability.

3. Location of Our Privacy Policy and Other Applicable Policies

3.1 Privacy Policy

Our Privacy Policy describes how we collect, use, store, and disclose information when you access or use the Services. It also explains your rights and choices with respect to your personal data. The Privacy Policy is incorporated into these Terms by reference and forms an integral part of your agreement with us. Please review it carefully before using the Services.

3.2 Acceptable Use Policy

Our Acceptable Use Policy describes permitted and prohibited uses of the Services and is available at Acceptable Use Policy. The Acceptable Use Policy is hereby incorporated into these Terms by reference. By accessing or using the Services, you agree to comply with the Acceptable Use Policy, as it may be updated from time to time. In the event of a conflict between these Terms and the Acceptable Use Policy, these Terms shall control unless expressly stated otherwise.

4. Rights We Grant You

4.1 Right to Use Services

Subject to your compliance with these Terms and all applicable policies, Sonolabs grants you a limited, personal, non-exclusive, non-transferable, non-assignable, and non-sublicensable right to access and use the Services. Commercial use of Outputs is permitted only under paid subscription tiers or enterprise agreements that expressly allow commercial use.

To the extent that any software, content, models, or other materials owned or controlled by Sonolabs are made available to you as part of the Services, Sonolabs grants you a limited license to access and display such materials solely as necessary to use the Services in accordance with these Terms. No ownership rights are transferred to you under these Terms.

Your access to and use of the Services may be interrupted, suspended, or limited from time to time for operational, maintenance, security, legal, or other reasons, including updates, repairs, or changes that Sonolabs may implement in its sole discretion.

4.2 Restrictions On Your Use of the Services

The rights granted to you under these Terms are conditioned on your compliance with the following restrictions. Except where expressly permitted by these Terms, by applicable law, or with Sonolabs' prior written consent, you may not, directly, or indirectly:

  1. Copy, download, modify, distribute, transmit, publicly display, perform, reproduce, duplicate, publish, license, create derivative works from, sell, or otherwise exploit any part of the Services, including any models, software, or materials made available through the Services, other than temporary files cached automatically by your web browser or as expressly permitted by these Terms.
  2. Use, remove, obscure, or alter any copyright, trademark, service mark, logo, trade name, slogan, image, or other proprietary notice displayed on or through the Services, or use framing, metatags, or other "hidden text" incorporating Sonolabs' name or trademarks.
  3. Reverse engineer, decompile, disassemble, decode, or otherwise attempt to derive the source code, underlying ideas, algorithms, models, or system architecture of the Services, or use any automation tools, bots, hacks, mods, or unauthorized third-party software designed to modify, interfere with, or access the Services.
  4. Develop, use, or deploy applications, scripts, or software that interact with the Services without Sonolabs' express authorization, including through unauthorized use of APIs or access points.
  5. Use the Services, or any Outputs generated through the Services, to research, develop, train, test, or improve any products, services, or models that compete with Sonolabs.
  6. Exploit the Services for commercial purposes, including advertising, solicitation, or revenue-generating activities, unless such use is expressly permitted by your subscription tier or a separate written agreement with Sonolabs.
  7. Access or use the Services in any manner that could disable, overburden, damage, disrupt, or impair the Services or interfere with any other user's access to or use of the Services.
  8. Attempt to gain unauthorized access to the Services, other user accounts, or Sonolabs' systems or networks, or probe, scan, or test the vulnerability of any system or network connected to the Services.
  9. Circumvent, remove, alter, deactivate, or otherwise attempt to bypass any technological measures, safeguards, or content protections used by the Services, or use scraping, crawling, mining, or similar automated or manual processes to extract data from the Services.
  10. Introduce viruses, trojan horses, worms, logic bombs, or other malicious or technologically harmful materials into the Services or Sonolabs' systems.
  11. Make available through the Services, including through Inputs or Outputs, any content that is unlawful, deceptive, fraudulent, defamatory, obscene, excessively violent, harassing, hateful, discriminatory, abusive, invasive of privacy or publicity rights, or otherwise objectionable.
  12. Make available any content that constitutes unsolicited or unauthorized advertising, spam, bulk messaging, political advertising, medical device or pharmaceutical promotion, contests, sweepstakes, pyramid schemes, or similar activities without Sonolabs' prior written consent.
  13. Make available content intended to mislead voters or interfere with democratic processes, or content that targets minors with sexual content, graphic violence, obscenity, or other mature themes, or that bullies, humiliates, or exploits minors.
  14. Upload, generate, or distribute audio or other content using the voice or likeness of a deceased person, a political candidate, or any identifiable individual without that person's express authorization or other lawful basis.
  15. Impersonate any person or entity, including any employee or representative of Sonolabs, or falsely suggest any affiliation or endorsement.
  16. Direct the Services to generate Outputs that infringe or violate any intellectual property right, contractual restriction, privacy right, publicity right, or other legal right of any person, or that otherwise violate applicable laws or regulations.
  17. Use the Services in violation of the Acceptable Use Policy or in any manner not expressly permitted by these Terms.

4.3 Beta Offerings

From time to time, Sonolabs may make available experimental, test, or beta features or products as part of the Services ("Beta Offerings"). Your use of any Beta Offering is entirely voluntary and is provided on an "as is" and "as available" basis, without warranties of any kind.

Beta Offerings may contain errors, defects, or inaccuracies and may result in interruptions, failures, corruption, or loss of data. You acknowledge and agree that your use of Beta Offerings is at your sole risk. Data or content created or modified through Beta Offerings may not be recoverable or transferable to non-beta versions of the Services.

If a Beta Offering is provided on a confidential or closed basis, you agree not to disclose, publish, or otherwise make available any information about the Beta Offering without Sonolabs' prior written consent.

5. Ownership and Content

5.1 Ownership of the Services

The Services, including their overall look and feel, software, interfaces, text, graphics, images, audio, logos, proprietary content, information, and other materials, are protected by copyright, trademark, and other intellectual property laws. As between you and Sonolabs, Sonolabs and its licensors retain all right, title, and interest in and to the Services, including all associated intellectual property rights.

Except for the limited rights expressly granted to you under these Terms, no rights or licenses are granted to you, whether by implication or otherwise. You agree not to take any action inconsistent with Sonolabs' ownership of the Services. Sonolabs and its licensors reserve all rights not expressly granted under these Terms, including the exclusive right to create derivative works based on the Services.

5.2 Ownership of Trademarks

The Sonolabs, Sonolabs AI, and sonolabs.ai names, logos, and all related names, logos, product and service names, designs, and slogans are trademarks of Sonolabs or its licensors. You may not use such marks without Sonolabs' prior written permission. All other trademarks appearing on the Services are the property of their respective owners and are used for identification purposes only.

5.3 Inputs, Outputs, and AI-Generated Content

The Services use artificial intelligence technologies to process user-provided materials, including audio recordings, voice samples, text prompts, videos, and other content (collectively, "Inputs"), and to generate synthesized sound recordings, voice models, and other content based on such Inputs ("Outputs").

Sonolabs does not claim ownership of your Inputs or the Outputs you generate through the Services ("Your Outputs"). However, you acknowledge that due to the nature of generative AI systems, Outputs may not be unique, and similar or identical Outputs may be generated for other users. You agree that Sonolabs and other users shall not be liable to you for any similarity between Outputs and waive any claims arising from such similarity.

To the fullest extent permitted by law, Sonolabs may review, monitor, or analyze Inputs and Outputs using automated and manual tools for purposes such as operating, securing, improving, and enforcing the Services and these Terms.

(a) Your Content License Grant

In connection with your use of the Services, you may upload, submit, generate, or otherwise make available content, including Inputs and Outputs (collectively, "Your Content").

By making Your Content available through the Services, you grant Sonolabs a non-exclusive, worldwide, royalty-free, fully paid, transferable, and sublicensable license to host, store, cache, process, reproduce, transmit, display, modify (for technical and operational purposes), and otherwise use Your Content solely as necessary to provide, operate, maintain, secure, improve, and promote the Services, and to comply with legal obligations.

This license remains in effect for as long as Your Content is stored by Sonolabs, subject to applicable law and your rights under our Privacy Policy.

You represent and warrant that you have all rights, permissions, and consents necessary to provide Your Content and to grant the foregoing license, including all rights required to use any voice, likeness, or personal data contained in Your Content.

(b) Your Use of Outputs

Unless commercial use is expressly permitted by your subscription tier or a separate written agreement with Sonolabs, you may use Your Outputs only for personal, non-commercial purposes and in accordance with these Terms and the Acceptable Use Policy.

You are solely responsible for any use, distribution, publication, or sharing of Your Outputs, including ensuring that such use complies with applicable laws and does not infringe the rights of any third party. If you choose to make Your Outputs publicly available, you do so at your own risk.

(c) Third-Party AI Services

Certain functionalities of the Services rely on artificial intelligence models, APIs, or infrastructure provided by third-party service providers. While Sonolabs does not use your Inputs, Outputs, or usage data to train its own artificial intelligence or machine learning models, these third-party providers may process, retain, or use data submitted through their services in accordance with their own terms, privacy policies, and data usage practices, which are outside of Sonolabs' control.

You acknowledge and agree that your use of the Services is also subject to any applicable terms and data practices of such third-party providers, and that Sonolabs is not responsible for how such providers process or use data once transmitted to them, except to the extent required by applicable law.

5.4 Ownership of Feedback

If you provide feedback, comments, or suggestions regarding the Services ("Feedback"), you agree that such Feedback is provided voluntarily and without expectation of compensation. You irrevocably assign to Sonolabs all right, title, and interest in and to such Feedback, including all intellectual property rights therein. Sonolabs may use, disclose, and exploit Feedback for any purpose without restriction or obligation to you.

5.5 Notice of Infringement – DMCA (Copyright) Policy

Sonolabs respects intellectual property rights and expects users to do the same. If you believe that content available through the Services infringes your copyright, you may submit a copyright infringement notice in accordance with applicable law.

For users located in the United States, Sonolabs complies with the Digital Millennium Copyright Act ("DMCA"). Notices of claimed infringement may be sent to support@sonolabs.ai or to Sonolabs' designated agent at the address listed on our website. Sonolabs may remove or disable access to allegedly infringing content and may suspend or terminate repeat infringers in appropriate circumstances.

6. Third Party Services and Materials

6.1 Use of Third Party Materials in the Services

Certain features of the Services may display, include, integrate, or make available content, data, information, software, applications, APIs, models, or other materials provided by third parties, or may include links to third-party websites or services (collectively, "Third-Party Materials").

By using the Services, you acknowledge and agree that Sonolabs does not control, endorse, sponsor, or assume responsibility for any Third-Party Materials or third-party services. Sonolabs does not examine or evaluate, and makes no representations or warranties regarding, the accuracy, completeness, availability, timeliness, legality, reliability, quality, or appropriateness of any Third-Party Materials or third-party websites.

Your access to and use of Third-Party Materials and third-party websites is at your own risk and subject to the applicable third party's terms, policies, and practices. Sonolabs shall not be liable for any loss, damage, or harm arising from or related to your use of, or reliance on, any Third-Party Materials, third-party services, or third-party websites. Third-Party Materials and links are provided solely for your convenience.

6.2 Sharing Your Content and Information with Third Parties

The Services may include features or tools that allow you to export, share, transmit, or otherwise make available information, including Your Content, to third-party services or platforms. This may include linking your Account with a third-party account, using third-party integrations or APIs, or interacting with embedded third-party features such as sharing or social media buttons.

By using such features, you authorize Sonolabs to transfer the applicable information to the designated third party at your direction. Once transferred, your information will be subject to the third party's terms, privacy practices, and data usage policies, and Sonolabs does not control and is not responsible for how such third parties collect, use, disclose, retain, or process that information.

You acknowledge and agree that Sonolabs is not liable for any acts or omissions of third parties, including any use, misuse, retention, or disclosure of information or content by third-party services following such transfer.

7. Disclaimers, Limitations of Liability and Indemnification

7.1 Disclaimers

Your access to and use of the Services is at your own risk. The Services are provided on an "AS IS" and "AS AVAILABLE" basis. To the maximum extent permitted by applicable law, Sonolabs, its parent company, affiliates, officers, directors, employees, agents, partners, and licensors (collectively, the "Sonolabs Entities") disclaim all warranties, representations, and conditions of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, or availability.

Without limiting the foregoing, the Sonolabs Entities make no representations or warranties and disclaim all responsibility or liability with respect to:

  • the accuracy, completeness, reliability, timeliness, availability, security, or suitability of the Services or any Outputs generated through the Services;
  • any harm to your computer systems, devices, or loss of data resulting from your access to or use of the Services;
  • the compatibility of the Services with any other software, hardware, system, or device;
  • whether the Services will meet your requirements or be uninterrupted, secure, or error-free;
  • the deletion of, or failure to store or transmit, Your Content or other communications.
  • Outputs generated by the Services do not constitute legal, medical, financial, or professional advice and should not be relied upon as such. You are solely responsible for how you use or act upon any Outputs.

You acknowledge that the Services leverage third-party services, tools, and APIs, and that Sonolabs is not responsible for the operation, availability, or data practices of such third parties. Any reliance on Outputs or other content generated through the Services is at your sole discretion and risk, and you are solely responsible for evaluating whether any Output is appropriate for your intended use.

You further acknowledge that you may be exposed to content that you find offensive, unlawful, misleading, or otherwise inappropriate, and that the Sonolabs Entities shall not be responsible for such content.

Nothing in these Terms excludes or limits warranties or liabilities that cannot be excluded or limited under applicable law.

7.2 Limitations of Liability

To the maximum extent permitted by applicable law, in no event shall the Sonolabs Entities be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including without limitation damages for loss of profits, loss of data, loss of use, business interruption, or procurement of substitute goods or services, arising out of or relating to your access to or use of, or inability to access or use, the Services or any Outputs, whether based on warranty, contract, tort (including negligence), strict liability, or any other legal theory, even if the Sonolabs Entities have been advised of the possibility of such damages.

To the extent not prohibited by law, the total aggregate liability of the Sonolabs Entities for any and all claims arising out of or relating to the Services or these Terms shall not exceed the greater of:

(a) the total amount paid by you to Sonolabs for the Services giving rise to the claim in the six (6) months preceding the event giving rise to liability; or

(b) one hundred U.S. dollars (USD $100).

These limitations apply even if any limited remedy fails of its essential purpose and constitute a fundamental element of the basis of the bargain between you and Sonolabs.

Nothing in this Section limits liability for gross negligence, willful misconduct, fraud, or any liability that cannot be limited under applicable law.

7.3 Indemnification

You agree to defend, indemnify, and hold harmless the Sonolabs Entities from and against any and all claims, demands, actions, losses, liabilities, damages, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

  1. your access to or use of the Services, including any Outputs;
  2. your violation of these Terms or any applicable law or regulation;
  3. your violation of any third-party rights, including intellectual property, privacy, publicity, or contractual rights;
  4. Your Content, including any Inputs you submit or Outputs you generate or share;
  5. your negligence, willful misconduct, or misuse of the Services.

Sonolabs reserves the right, at its sole discretion, to assume the exclusive defense and control of any matter subject to indemnification by you, and you agree to cooperate fully with Sonolabs in asserting any available defenses or in the settlement of such claims.

8. ARBITRATION AND CLASS ACTION WAIVER

8.1 IMPORTANT NOTICE – PLEASE READ CAREFULLY

THIS SECTION MAY SIGNIFICANTLY AFFECT YOUR LEGAL RIGHTS.

IT CONTAINS A BINDING ARBITRATION AGREEMENT AND A WAIVER OF CLASS AND REPRESENTATIVE ACTIONS THAT APPLY TO CERTAIN USERS OF THE SERVICES.

THIS ARBITRATION AGREEMENT APPLIES ONLY TO BUSINESS USERS (AS DEFINED BELOW).

IF YOU ARE A CONSUMER, THIS SECTION DOES NOT REQUIRE YOU TO RESOLVE DISPUTES THROUGH ARBITRATION AND DOES NOT LIMIT YOUR RIGHT TO BRING A CLAIM IN COURT, SUBJECT TO APPLICABLE LAW.

8.2 Definitions: Consumer vs. Business User

For purposes of these Terms, a "Consumer" is a natural person who accesses or uses the Services solely for personal, non-commercial purposes and not in connection with any trade, business, profession, or occupation.

A "Business User" is any individual or legal entity that accesses or uses the Services for commercial, professional, or revenue-generating purposes. This includes, without limitation, companies, organizations, studios, agencies, or other institutions, as well as individuals using the Services in the course of their trade, profession, or business. Users accessing the Services under a paid plan, enterprise plan, API access, or on behalf of another entity are deemed Business Users.

If there is any ambiguity as to whether you are acting as a Consumer or a Business User, your use of the Services shall be deemed commercial and treated as use by a Business User, unless such classification is prohibited by applicable law.

8.3 Informal Dispute Resolution First

Before initiating arbitration or court proceedings, you agree to first attempt to resolve any dispute, claim, or controversy arising out of or relating to these Terms or the Services (a "Dispute") informally.

You must send a written notice describing the nature of the Dispute and the relief sought to: support@sonolabs.ai

The parties will make a good-faith effort to resolve the Dispute within 30 days of receipt of the notice. If the Dispute is not resolved within that period, either party may pursue formal resolution as described below.

8.4 Arbitration Agreement (Business Users Only)

If you are a Business User, you agree that any Dispute that is not resolved through the informal process described above shall be resolved exclusively through final and binding individual arbitration, rather than in court, except as expressly provided in Section 8.5.

The arbitration shall be administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules or, where applicable, its International Arbitration Rules. The arbitration shall be conducted before a single neutral arbitrator, in the English language, and may take place remotely or at a mutually agreed location, unless otherwise required by applicable law. The arbitrator's decision shall be final and binding, and judgment on the arbitration award may be entered in any court of competent jurisdiction.

8.5 Exceptions

Notwithstanding the foregoing, either party may seek injunctive or equitable relief in a court of competent jurisdiction to prevent or address actual or threatened infringement or misappropriation of intellectual property rights, unauthorized use of voice models, likenesses, or proprietary materials, or breaches of confidentiality or data security obligations.

If you are a Consumer, nothing in these Terms requires you to submit any Dispute to arbitration or limits any mandatory rights or remedies available to you under applicable consumer protection laws.

8.6 Costs of Arbitration

For Business Users, arbitration fees and costs shall be allocated in accordance with the applicable arbitration rules, unless otherwise required by law. Each party shall bear its own legal fees and expenses unless the arbitrator determines otherwise pursuant to applicable law or agreement. Nothing in this section prevents the arbitrator from awarding costs or fees where permitted.

8.7 Opt-Out of Arbitration (Business Users Only)

If you are a Business User, you may opt out of the arbitration agreement and class action waiver by providing written notice within thirty (30) days of first accepting these Terms. The opt-out notice must clearly state your intent to opt out of arbitration and include your name, company name (if applicable), email address, and the date on which you accepted these Terms. The notice must be sent to support@sonolabs.ai.

Opting out of arbitration will not affect the validity or enforceability of any other provision of these Terms.

8.8 Waiver of Class Actions and Representative Claims (Business Users Only)

To the fullest extent permitted by law, if you are a Business User, you agree that any arbitration or other proceeding arising out of or relating to these Terms or the Services shall be conducted solely on an individual basis. You waive any right to participate in or bring class actions, collective actions, private attorney general actions, or other representative proceedings against Sonolabs. The arbitrator shall have no authority to consolidate claims or to preside over any form of representative or class proceeding.

9. Additional Provisions

9.1 International Use of the Services

The Services may be accessed from jurisdictions around the world and may reference services, features, or content that are not available in all locations. Such references do not imply that Sonolabs makes such services or content available in any particular jurisdiction.

You acknowledge that the Services are provided on a global basis and that Sonolabs makes no representations that the Services are appropriate or available for use in every location. You are solely responsible for ensuring that your access to and use of the Services complies with all applicable local laws and regulations.

9.2 Changes to These Terms

Sonolabs may modify these Terms from time to time. When we do so, we will update the "Last Revised" date at the top of these Terms. If a modification is material, we will use reasonable efforts to notify you, such as by email or by posting a prominent notice on the Website.

It is your responsibility to review these Terms periodically. Continued access to or use of the Services after the effective date of any changes constitutes your acceptance of the updated Terms. No modification will apply retroactively to any dispute for which arbitration or legal proceedings have already been initiated.

9.3 Termination and Suspension

If you breach these Terms or applicable law, Sonolabs may, at its sole discretion, suspend or terminate your Account or access to the Services, with or without notice, to the extent permitted by law. Upon termination, all licenses granted to you under these Terms will immediately cease.

If your Account is terminated, you may not re-register or access the Services under a different identity without Sonolabs' prior written consent. Sonolabs may, but is not obligated to, delete Your Content following termination and shall not be liable for any loss of such content.

Sections that by their nature should survive termination shall remain in effect, including ownership, disclaimers, limitations of liability, indemnification, dispute resolution, and governing law provisions.

9.4 Injunctive Relief

You acknowledge that any breach of these Terms may cause irreparable harm to Sonolabs for which monetary damages would be insufficient. Accordingly, Sonolabs shall be entitled to seek injunctive or equitable relief, without the requirement of posting a bond or proving actual damages, in addition to any other remedies available at law or in equity.

9.5 Governing Law; Jurisdiction; Severability; Assignment

These Terms shall be governed by and construed in accordance with the laws of Estonia, without regard to its conflict of laws principles.

Any dispute arising out of or relating to these Terms or the Services shall be resolved in accordance with Section 8 (Arbitration and Class Action Waiver). Where arbitration does not apply, the parties agree to submit to the exclusive jurisdiction of the courts of Estonia, subject to any mandatory consumer protection laws that provide otherwise.

If any provision of these Terms is held to be unlawful, void, or unenforceable, such provision shall be severed and the remaining provisions shall remain in full force and effect. Sonolabs may assign these Terms without restriction. You may not assign these Terms without Sonolabs' prior written consent. No waiver shall be deemed a waiver of any subsequent breach.
